The affairs of the Society shall be managed, administration, directed and controlled by the Board of Governors subject to rules, rules and regulations and Orders of the Society. The First Board of Governors of the Society for the purpose of Societies Registration Act, 1860(XXI of 1860) shall consist of the following members:

Unless membership of the Board of Governors is terminated as provided in Rules-8 above, each nominated member of the Board of Governors shall relinquish his membership on expiry of three years from the date on which he becomes a member of the Board of Governors; but he shall be eligible for re-appointment. In case of a casual vacancy the person appointed by the BOG shall fill the vacancy and held office for the unexpired portion of the term of the outgoing member.
Whenever the Board of Governors (BOG) would like to alter, extended, or abridge any rules and regulations of the Society or for other purposes within the meaning of this Act, or to amalgamate such Society either wholly or Partially with any other Society, such BOG may submit the proposition to the members of the society in a written or printed report, and may convene a special meeting for the consideration thereof according to the regulations of the society; but no such proposition shall be carried into effect unless such report shall have been delivered or sent by post to every member of the society ten days previous to the special meeting convened by the governing body for the consideration thereof, nor unless such proposition shall have been agreed to the votes of three-fifth of the members of the BOG delivered in person or by proxy, and confirmed by the votes of three-fifth of the members present at a second special meeting convened by the BOG at an interval of one month after the former meeting. Any such decision as aforesaid taken by the BOG would require to be approved by the Department of Drinking Water and Sanitation; it will not be brought into effect. However, the DDWS, MoJS will always have the right to amend without reference to the BOG, the rules and regulations of the Society or to direct any amalgamation as aforesaid.
The BOG may, if required, put in place a "Scientific Advisory Council" with subject matter specialists from various fields related to drinking water quality/ water & sanitation. In Such case, this Council shall provide such inputs that may be required for change/ revision in policy level interventions by the Society as well as the DDWS, MoJS.
The meeting of the BOG shall be convened by the Member Secretary at least four times a year. Everything meeting of the Board of Governors shall be presided over by the President. In the unexpected eventually of absence of the President, the President may authorize any other member of the BOG to preside over the meeting. The meeting of the Board of Governors can be held at any location as desired by the President of the BOG.
Notice of meeting shall be issued at least 10 days in advance ahead of the due date of proposed meeting by the Member Secretary of BOG in consultation with President of the Society or any shorter notice as may be desired by the President of the BOG.
The Quorum for the meeting shall be presence of at least thirty percent of the total valid members on the roll, including co-opted members. In the event the quorum is not met in any meeting an "adjourned meeting" must be convened by the Member-Secretary. At such “adjourned meeting” no quorum shall be necessary, and the members present may transact the business for which the meeting was called. Should a member be unable to attend a meeting of the BOG, substitute to take his place at the meeting may not be nominated by him.
a. The Agenda and Minutes of the Meeting of BOG shall be prepared and issued by Member-Secretary of the BOG after approval of the President. A copy of the minutes of the meeting, shall be furnished to the members as soon as possible.
b. Proceedings of every meeting signed by the chair of the meeting shall be properly kept by the Director, SPM-NIWAS, and shall be circulated in the agenda of the next meeting for confirmation.
c. At the annual meeting of the Board of Governors, the following business shall be brought forward and disposed of:
i. Receipts & Payment, Income & Expenditure, Account & the Balance Sheet for the Financial Year.
ii. The Annual Report and Director’s report on the performance of the Institute.
iii. Any other business on the agenda.
Mere existence of any vacant membership, invalidity of a membership and/ or any said defect in the nomination of any members shall not be the reason for invalidity of the meeting on the proceedings of the BOG.
All matters In the Board of Governors shall be decided by majority, each member, including the President of Society, shall have one vote.In case of tie, the President will have a casting vote. However, the President may exercise the veto power in the interest of the Society.
Department of Drinking Water and Sanitation, Ministry of Jal Shakti may appoint one or more persons to review the work and progress of the Society and to hold enquiries into the affairs thereof and to report thereon in such manner as the DDWS may stipulate and upon receipt of any such report, the DDWS may take such action and issue such directions as it may consider necessary in respect of any of the matter dealt with in the report and the Society shall be bound to comply with such direction. The DDWS may by special order restrict or extend the scope and functions of the Society, if require keeping in view the performance of the Society in achieving the objectives assigned thereto. In addition, the Department may, at any time, issue directives on matters of policy to the Society and the latter shall be bound to promptly comply with such directives
The DDWS shall be vested with power of modifying the composition of the Board of Governors of the Society including the President.
